Terms of Service

Last updated / effective date: 23 August 2026

The short version (plain English)

Badger is a tool that automatically chases your unpaid invoices for you. It emails your clients polite payment reminders under your name, on the schedule and in the tone you set, and works out the statutory interest and compensation that UK business clients owe on late commercial invoices. When an invoice is paid, chasing stops. A few things to know up front:

  • Badger is for business use by people aged 18 or over.
  • Badger reminds and reconciles — it never touches money. Your clients pay you directly through your own accounts and third-party providers. Badger is not a payment processor and never holds funds.
  • Badger is not a debt collector and does not give legal, tax, accounting or financial advice. The statutory-interest figures are a convenience calculation, not legal advice.
  • You are responsible for the invoices you chase — that they are genuine, accurate and lawfully owed — and for your relationship with your clients.
  • There is a Free tier and a Pro plan (£14/month or £140/year). Cancel any time.

These Terms are the full agreement, so please read them.

1. Who we are and these Terms

These Terms of Service ("Terms") are a legal agreement between you and the sole trader proprietor of Badger, trading as "Badger" and based in the United Kingdom ("Badger", "we", "us", "our"), and govern your use of the Badger service and website at https://getbadger.co.uk (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service. The proprietor's name and a United Kingdom correspondence address will be provided free of charge, and without undue delay, on request at hello@getbadger.co.uk.

Our Privacy Policy and, where we process your clients' data on your behalf, our Data Processing Agreement / processor terms, form part of these Terms.

2. Eligibility and business use

You must be at least 18 years old and able to enter into a binding contract. The Service is provided for business and professional use only (for example, by freelancers, sole traders and companies chasing their own invoices). You confirm that you are using the Service in the course of a business, and accordingly the consumer cancellation rights that apply to consumer contracts do not apply, and your statutory rights as a consumer are not affected because you are not contracting as one.

3. Your account and security

  • You must provide accurate account information and keep it up to date.
  • You are responsible for keeping your login credentials secure and for all activity that happens under your account.
  • You must tell us promptly at hello@getbadger.co.uk if you suspect any unauthorised access or use.
  • You are responsible for any users you allow to access your account.

4. What Badger is — and what it is not

This section is important. By using the Service you acknowledge and agree that:

  • Badger is a software tool that automates reminders you could send yourself. You remain the creditor and stay in control of your invoices and your relationships with your clients at all times.
  • Badger is not a debt-collection agency and does not collect debts on your behalf. The optional "Letter Before Action" pack is a document you generate and choose to send or hand to an adviser or agency yourself — Badger does not chase, negotiate, or recover debts for you.
  • Badger does not carry out any regulated activity and is not authorised or regulated by the Financial Conduct Authority. Nothing in the Service is a regulated debt-collection, credit, or payment service.
  • Badger is not a payment processor and never holds, receives, or moves your funds or your clients' funds. All payments flow directly from your client to you, via the third-party rails you connect (such as Stripe Connect or PayPal), by bank transfer, or by you marking an invoice paid manually. Badger only reminds your clients and reconciles (detects) that payment has happened.
  • Badger does not give legal, tax, accounting or financial advice. The statutory-interest and fixed-compensation figures it calculates under the Late Payment of Commercial Debts (Interest) Act 1998 are provided for convenience and general information only, apply to UK business-to-business commercial debts, and must not be relied on as legal advice. You are responsible for confirming that the statutory late-payment regime applies to your particular invoice and for how you use any figure or letter the Service produces. If in doubt, take professional advice.

5. Sending reminders on your behalf; your responsibilities

  • You authorise Badger to send reminder and chasing emails on your behalf, appearing to come from you (From = your name; Reply-To = your address), on the schedule and in the tone you configure.
  • You warrant that every invoice and debt you load or chase is genuine, accurate, and lawfully owed to you, and that you are entitled to pursue it.
  • You are solely responsible for the content, legitimacy and lawfulness of what you invoice and chase, and for your relationship and communications with your clients.
  • You must have a lawful basis to load your clients' personal data into Badger and to have reminders sent to them, and you must meet your own obligations to your clients under data protection law.
  • You must not use the Service to harass anyone, to send unlawful, misleading, threatening or abusive communications, to send unlawful marketing or spam, or to chase money you are not entitled to. Responsibility for sending only lawful communications, and for compliance with anti-spam and marketing laws (including the Privacy and Electronic Communications Regulations), sits with you as the sender.

If you breach this section, we may suspend or terminate your account (see Termination), and you are responsible for the consequences of the communications sent under your account.

6. Acceptable use

You must not, and must not allow anyone else to:

  • use the Service for any unlawful, fraudulent or harmful purpose;
  • upload data you have no right to use, or that infringes anyone's rights;
  • attempt to gain unauthorised access to the Service or its systems, or interfere with its operation or security;
  • probe, scan, or test the vulnerability of the Service without our written permission;
  • copy, resell, sublicense, or provide the Service to third parties except as expressly allowed;
  • reverse-engineer or attempt to extract the source code of the Service except to the extent this restriction is prohibited by law; or
  • use the Service to build a competing product, or use automated means to place unreasonable load on it.

7. Third-party services and integrations

The Service lets you connect third-party providers — for example payment rails (Stripe, PayPal) and read-only accounting tools (Xero, FreeAgent, QuickBooks) — and relies on suppliers such as Supabase, Vercel, Brevo, Google and Anthropic to operate. Your use of any third-party provider is governed by that provider's own terms and privacy policy, directly between you and them. In particular, all payments are handled by third-party providers under their own terms, and Badger is not a party to, and is not responsible or liable for, those providers or their acts or omissions, including any failure, delay, fees, or funds handling on their part. You are responsible for maintaining your accounts with those providers and for complying with their terms.

8. Availability and email deliverability

We work to keep the Service available and reliable, but it is provided on a best-effort basis. We do not guarantee that the Service will be uninterrupted or error-free, and we may carry out maintenance. In particular, we do not guarantee that any reminder email will be delivered, opened, or read: email deliverability depends on third parties, receiving mail servers, spam filters and networks outside our control. You should monitor your own invoices and not rely solely on the Service.

9. Subscriptions, plans and billing

  • Free tier: a free plan supporting up to 3 active invoices at a time.
  • Pro: £14 per month, or £140 per year, unlocking the paid features described on our website at the time you subscribe. Prices are stated exclusive of any applicable taxes unless we say otherwise.
  • Billing: paid subscriptions are billed in advance through our third-party payment provider. You authorise us and that provider to charge your chosen payment method for each renewal period until you cancel. Renewals are automatic at the then-current price for your plan.
  • Price changes: we may change subscription prices, and will give you reasonable notice before a change takes effect. If you do not accept a price change, you may cancel before it applies.
  • Cancellation: you can cancel at any time from your account or by emailing hello@getbadger.co.uk. Cancellation stops future renewals; your paid access continues until the end of the period you have already paid for, after which your account moves to the Free tier or is closed.
  • Refunds: subscription fees are non-refundable for partial billing periods; you can cancel at any time to stop future renewals, and your paid access continues until the end of the period you have already paid for. This does not affect any rights you have that cannot be excluded by law.
  • Non-payment: if a payment fails or is reversed, we may suspend paid features or downgrade your account until payment is resolved.

10. Your data and content

You keep ownership of the data and content you put into the Service (your account details and the invoices and client information you load). You grant us the licence needed to host, process and display that data in order to provide the Service to you, and to have our sub-processors do so. You are responsible for keeping your own copies of important data. How we handle personal data is set out in our Privacy Policy, and where we act as your processor, in our processor terms.

11. Our intellectual property

The Service, including its software, design, branding, "Badger" name and logo, and all related intellectual property, belongs to us or our licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own business purposes in accordance with these Terms. We reserve all rights not expressly granted. Any feedback you give us may be used by us without restriction or obligation to you.

12. Changes to the Service and to these Terms

We may improve, change, add to, or discontinue features of the Service. If we make a change that materially reduces the core functionality of a paid plan, we will give you reasonable notice. We may also update these Terms from time to time; if a change is material we will take reasonable steps to notify you (for example by email or in-app notice) before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms. The "Last updated" date at the top shows when they were last revised.

13. Warranty disclaimer

To the fullest extent permitted by law, the Service is provided "as is" and "as available", and we make no warranties or representations of any kind, whether express or implied, including any implied warranties of satisfactory quality, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will meet your requirements, that reminders will result in payment, that statutory-interest calculations are correct for your specific circumstances, or that the Service will be uninterrupted, secure or error-free.

14. Limitation of liability

Nothing in these Terms limits or excludes our liability where it would be unlawful to do so — including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under the law of England and Wales.

Subject to that, and to the fullest extent permitted by law:

  • we are not liable for any loss of profits, loss of business, loss of revenue, loss of anticipated savings, loss of goodwill, or for any indirect or consequential loss, however arising;
  • we are not liable for unpaid invoices, for any debt you fail to recover, for the acts or omissions of your clients or of any third-party payment or accounting provider, for the non-delivery of any email, or for your use of, or reliance on, any statutory-interest figure or Letter Before Action pack; and
  • our total aggregate liability to you arising out of or in connection with these Terms and the Service, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the greater of (a) the total subscription fees you paid to us in the 12 months immediately before the event giving rise to the claim, and (b) £100.

You are responsible for your own business decisions and for pursuing your debts; the Service is a tool to assist you, not a guarantee of payment.

15. Indemnity

You agree to indemnify and hold us harmless from and against any claims, demands, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or connected with: (a) the invoices, debts and communications you create, send or chase using the Service; (b) your breach of these Terms or of any applicable law (including data protection, marketing, and consumer or debt-related laws); (c) any dispute between you and a client; or (d) your infringement of any third party's rights.

16. Suspension and termination

  • You may stop using the Service and close your account at any time.
  • We may suspend or terminate your access, with or without notice, if you breach these Terms, if we are required to by law, if there is a security or fraud risk, or if you use the Service to send unlawful or harassing communications or to chase debts you are not entitled to.
  • We may also discontinue the Service as a whole on reasonable notice.
  • On termination, your right to use the Service ends. We will handle your data in line with our Privacy Policy and processor terms, including giving you a reasonable opportunity to export or request your data before deletion, unless we are legally required to retain it.
  • Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) continue to apply.

17. Events outside our control

We are not liable for any failure or delay in performing our obligations caused by events outside our reasonable control, including failures of third-party providers, internet or hosting outages, power failures, or other force majeure events.

18. General

  • These Terms, together with our Privacy Policy and processor terms, are the entire agreement between you and us regarding the Service.
  • If any provision is found to be unenforceable, the rest remains in effect.
  • Our failure to enforce a provision is not a waiver of it.
  • You may not transfer your rights or obligations under these Terms without our consent; we may transfer ours to a successor of our business, provided your rights are not adversely affected.
  • These Terms do not create any partnership, agency, or employment relationship, beyond the limited authority you give us to send reminders on your behalf.
  • A person who is not a party to these Terms has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce them.

19. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or the Service (including non-contractual disputes) are governed by the law of England and Wales, and you and we submit to the exclusive jurisdiction of the courts of England and Wales.
